Terms of Service

1. Acceptance of Terms

By accessing or using the App, you confirm that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any Apple-branded device that you own or control, solely for your personal, non-commercial purposes.

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

3. Restrictions

You agree not to:

• Copy, modify, or distribute the App or any portion thereof
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law
• Rent, lease, lend, sell, sublicense, or transfer the App to any third party
• Remove, alter, or obscure any proprietary notices on the App
• Use the App for any unlawful purpose or in violation of any applicable laws
• Interfere with or disrupt the integrity or performance of the App
• Attempt to gain unauthorized access to the App or its related systems

4. User Content

You retain ownership of any content you create or upload through the App ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the App.

You are solely responsible for your User Content and represent that you have all necessary rights to submit it. You agree not to submit any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

5. Third-Party Services

The App may enable access to third-party services and websites ("Third-Party Services"). You understand that:

• We do not control Third-Party Services and are not responsible for their content, accuracy, or availability
• Your use of Third-Party Services is at your own risk and subject to their respective terms and policies
• We may modify or discontinue access to Third-Party Services at any time without notice
• We disclaim all liability arising from your use of Third-Party Services

6. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically without notice if you fail to comply with any of its provisions.

Upon termination, you must cease all use of the App and delete all copies from your devices. We may also suspend or terminate your access to the App at any time, with or without cause, and with or without notice.

7. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STATOS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• ANY DAMAGES EXCEEDING THE AMOUNT YOU PAID FOR THE APP IN THE PAST TWELVE (12) MONTHS, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow limitations on implied warranties or exclusion of liability for certain damages, so some limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Statos and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your User Content, or your violation of these Terms.

10. Export Compliance

You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. You represent that you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country, and you are not listed on any U.S. Government list of prohibited or restricted parties.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in California, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms in the App and updating the "Last Updated" date above. Your continued use of the App after such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Statos regarding your use of the App and supersede any prior agreements. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
